1. Acceptance of Terms

By accessing or using Cipher ("Service"), a document translation platform powered by Translayte, you agree to be bound by these Terms & Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Description of Service

Cipher is an AI-powered document translation platform that enables users to translate PDFs, scans, and images while preserving document layout. The Service includes:

  • AI-powered translation of documents in multiple formats (PDF, JPG, PNG)
  • Layout-preserving translation technology
  • Side-by-side editing and review capabilities
  • Multiple export formats (PDF, DOCX, PPTX, XLSX, Searchable PDF)
  • Team collaboration features with role-based access control
  • Glossary management and reusable translation notes
  • DTP (Desktop Publishing) mode with automatic DOCX generation
  • Real-time translation status updates
  • Subscription-based billing with included monthly credits and metered overage

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Maintain the security of your password and identification
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account
  • Ensure that the information you provide is accurate and kept up to date

We recommend enabling two-factor authentication (2FA) for enhanced security.

4. Credit System and Billing

The Service operates on a subscription-based billing system where one (1) credit equals one (1) translated page. Credits are shared across all members of a team.

Subscription Plans: Team Owners and Admins select a monthly subscription plan. Each plan includes a fixed number of subscription credits per billing period. Subscription credits reset at the start of each billing period and do not roll over. You may switch plans at any time; changes take effect immediately and Stripe may prorate the difference.

Extra Credits: New teams receive five (5) complimentary credits upon registration. Extra credits — including signup bonuses, one-time credit purchases, promotional grants, and administrative adjustments — do not expire and are retained indefinitely.

Manual Top Up (one-time credit purchases): In addition to, or instead of, a monthly subscription, eligible teams may purchase credits in one-off bundles via the Manual Top Up option on the Billing page. The per-credit price is published on the Billing page and follows volume tiers — larger bundles unlock a lower per-credit rate. One-time purchases are charged through Stripe Checkout in the team's billing currency (USD, GBP, or EUR) and the resulting credits are added to the team's Extra Credits balance, which does not expire. Availability of Manual Top Up is determined at the team level; not every team will see this option.

Credit Usage Order: When a translation is submitted, credits are drawn in the following order: (1) subscription credits for the current billing period, then (2) extra credits (including any one-time top-up purchases), then (3) metered overage (if applicable). Metered overage charges appear on your next subscription invoice.

Cancellation: If you cancel your subscription, your included credits and access remain available until the end of the current billing period. You may restart your subscription at any time before the period ends.

Refund Policy: Credits are automatically refunded when translations fail due to system errors. If a translation job fails during submission, credits are never deducted. If the system reports an error status, credits are automatically refunded based on the run's page count. Credits are non-refundable for completed translations, regardless of quality or user satisfaction. Subscription fees and one-time credit purchases are non-refundable except where required by applicable law.

Free Features: Revisions do not consume credits and are provided at no additional cost. Each translation includes up to three (3) free re-runs, allowing you to retry with different models or updated instructions without using additional credits.

5. Payment Terms

All payments are processed securely through Stripe. By subscribing or making a purchase, you agree to:

  • Provide valid payment information
  • Authorize us to charge your payment method for (a) the recurring subscription amount and any applicable metered overage, and/or (b) any one-time credit purchases (Manual Top Up) you initiate from the Billing page
  • Accept that prices are displayed in USD, GBP, or EUR based on your region, and billing is in the currency established at checkout
  • Acknowledge that subscription pricing and one-time credit pricing may change; we will provide reasonable notice of any price increases before they take effect

Subscription credits are available to your team upon successful payment of each billing period. Metered overage charges are calculated at the end of each billing period and added to your next invoice. Credits from one-time Manual Top Up purchases are made available upon successful payment and are added to your team's Extra Credits balance. You may manage your payment methods, view invoices, and cancel your subscription through the Stripe Customer Portal accessible from the Billing page.

6. Teams and Collaboration

The Service supports team collaboration with the following features:

  • Personal Teams: Every new user automatically receives a personal team with 5 complimentary credits
  • Team Roles: Three-tier role system (Owner, Admin, Member) with granular permissions
  • Team-Scoped Data: All translations, credit transactions, and subscriptions are scoped to teams
  • Billing Access: Only team Owners and Admins can view and manage billing information

Team Owners and Admins are responsible for managing team members, roles, and billing. You agree not to share your account credentials with others and to use the team invitation system for collaboration.

7. Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Violate any applicable laws, regulations, or third-party rights
  • Upload documents containing malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any purpose that violates intellectual property rights

8. Intellectual Property

Your Content: You retain all ownership rights to the documents you upload and the translations generated from your documents. By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the translation services.

Our Content: The Service, including its original content, features, and functionality, is owned by Translayte and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

AI Models: Translations are generated using third-party AI models (OpenAI, Anthropic). You acknowledge that AI-generated content may not be perfect and that you are responsible for reviewing and editing translations as needed.

No training on your data: We do not use your documents or the resulting translations to train, fine-tune, or improve any AI models—whether our own or those of our third-party providers (e.g. OpenAI, Anthropic, ABBYY). Your content is processed solely to provide the translation service.

9. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

We may update, change, or remove features of the Service at our discretion. We will make reasonable efforts to notify users of significant changes, but are not obligated to do so.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

Translations are generated by AI and may contain errors. You are responsible for reviewing and verifying all translations before using them for any purpose.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSLYTE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any errors or omissions in translations
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the Service
  • Any other matter relating to the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Translayte, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any content you submit, post, or transmit through the Service

13. Data Retention and Deletion

We retain your documents and translations in accordance with our Privacy Policy. Source documents, translated outputs, and OCR-derived files that you upload to the Service are stored for a maximum of thirty (30) days from upload or completion and are then permanently deleted from our storage systems (including the underlying cloud storage buckets). After this point, the original and translated files cannot be recovered.

You may request deletion of your account and associated data at any time by contacting [email protected]. Upon account deletion, we will delete your personal data in accordance with applicable data protection laws. Certain non-content data (such as billing records, audit logs, and high-level run metadata) may be retained for longer periods where required for legal, regulatory, security, or accounting purposes, as described in our Privacy Policy.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting [email protected] or by using the account deletion features in your account settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
